The Corporate Integrity Program uses a Management Service Organization (MSO) to separate out the administrative portion of a business.

The MSO is structured as a C-Corp and the administrative services are outsourced to the new company by way of a Management Service Agreement (MSA).

MSO Tax Saving Benefits

When using an MSO, you'll be able to take advantage of a 21% flat tax on all C Corp income compared to the individual tax rate of 32%-37% plus an additional 3.8% net investment income tax.

Operating the MSO

The MSO is paid a Management Fee from the OC. The amount is established by the fair market value for services rendered according to the Management Services Agreement. This management fee is the revenue of the MSO and as such, will be taxed as a C-Corp at a flat 21% tax while the OC will continue to operate as a flow through entity and deduct the management fee as a normal operating expense.

‍The goal is not to move as many expenses away from the OC as possible but to recognize expenses in support of the income they provide.
